1. INTRODUCTION AND PURPOSE
These Terms and Conditions (“Terms,” “Agreement,” or “Terms and Conditions”) govern the international commercial debt collection services provided by Decarbin LLC (“Company,” “Agency,” “we,” “our,” or “us”).
The Company is a United States-based third-party commercial debt collection and accounts receivable recovery agency providing services to businesses, corporations, suppliers, manufacturers, wholesalers, distributors, professional service providers, and other commercial creditors worldwide.
The Company’s primary business activity is the recovery of outstanding commercial obligations owed by business entities to original creditors.
The Company acts as an authorized collection representative or servicing agent of the original creditor and does not acquire ownership of the underlying debt unless expressly agreed in a separate written agreement.
These Terms establish the general conditions under which the Company communicates with commercial debtors, administers collection accounts, coordinates international recovery services, and facilitates payment of outstanding commercial obligations.
All collection activity remains subject to the original contractual agreement between the creditor and debtor and all mandatory laws applicable to the relevant jurisdiction.
2. DEFINITIONS
For purposes of these Terms:
Agency: Refers to Decarbin LLC, its authorized personnel, and its properly appointed representatives.

The Company does not guarantee successful recovery of any account.
4. THIRD-PARTY COLLECTION AUTHORITY
The Company operates as an independent third-party collection service provider.
The original creditor retains ownership of the underlying commercial debt unless a separate written agreement expressly provides otherwise.
The Company receives collection authority through an agreement, authorization, assignment of servicing rights, or other legally sufficient documentation from the creditor.
Such authority may include permission to:
- Communicate with the debtor concerning the outstanding account.
- Request payment of outstanding commercial obligations.
- Obtain and review relevant account documentation.
- Send account statements and payment reminders.
- Negotiate repayment arrangements within the authority granted by the creditor.
- Present settlement proposals subject to creditor approval.

- Coordinate referrals to authorized international collection partners or legal representatives.
- Provide account updates and recovery reports to the creditor.
The Company will not represent itself as the owner of a debt unless ownership has legally transferred to the Company.
The Company will not claim to possess legal authority, court authority, or enforcement powers that it does not actually hold.
The Company may identify itself as an authorized collection representative of the creditor when communicating with the debtor.
5. COMMERCIAL DEBT ELIGIBILITY
The Company’s services are primarily intended for commercial obligations arising from transactions between businesses.
Eligible accounts may include obligations arising from:
- Written commercial contracts.
- Purchase orders.
- Invoices for goods and merchandise.
- International supply agreements.
- Manufacturing agreements.
- Distribution agreements.
- Wholesale transactions.
- Commercial service agreements.
- Consulting and professional service contracts.
- Business-to-business credit arrangements.
- Other legally enforceable commercial transactions.
The Company does not intentionally solicit personal consumer debts, personal household debts, residential consumer credit obligations, or individual consumer lending accounts under this commercial collection program.
Where an account is determined to involve a consumer transaction, mixed-purpose transaction, sole proprietor, individual guarantor, or other potentially protected individual, the Company may suspend or modify collection activity pending a review of applicable legal requirements.
The characterization of an obligation as commercial will be determined by the underlying transaction and applicable law, not solely by the creditor’s designation.
6. CREDITOR REPRESENTATIONS AND WARRANTIES
The creditor referring an account to the Company represents and warrants, to the extent of its knowledge and authority, that:
- It is legally entitled to receive the outstanding payment.
- The underlying commercial transaction occurred.
- The account information supplied is accurate and reasonably complete.
- The amount referred for collection is supported by appropriate documentation.
- Any claimed interest, contractual charges, and collection expenses have a valid legal or contractual basis.
- The account has not been knowingly referred for collection after full payment or settlement.
- Any applicable payments, credits, adjustments, and disputes have been disclosed.
- The creditor has the necessary authority to disclose relevant account information to the Company.
- The creditor has not knowingly misrepresented the legal status or enforceability of the obligation.
- The creditor will notify the Company promptly of payments, credits, settlements, disputes, or changes affecting the account.
The Company may rely upon information supplied by the creditor, subject to reasonable verification and applicable legal requirements.
The Company reserves the right to reject, suspend, or return an account where documentation is insufficient, information appears materially inconsistent, or collection activity would create an unacceptable legal or compliance risk.
7. DEBT VERIFICATION AND SUPPORTING DOCUMENTATION
The Company may request and review documentation reasonably necessary to establish the existence, amount, and status of an alleged commercial debt.
Such documentation may include:
- Original invoices.
- Purchase orders.
- Signed contracts.
- Service agreements.
- Delivery confirmations.
- Shipping and receiving records.
- Proof of performance.
- Account statements.
- Payment histories.
- Correspondence between the creditor and debtor.
- Credit notes and adjustments.
- Written acknowledgments of outstanding balances.
- Relevant settlement or payment agreements.
The Company will make reasonable efforts to provide relevant supporting account information upon a legitimate request, subject to confidentiality, privacy, and applicable legal requirements.
A debtor may dispute the existence, amount, enforceability, or ownership of an account.
The Company may contact the original creditor to investigate the dispute and request additional supporting documentation.
Where appropriate, collection activity will be suspended while a material dispute is investigated, particularly where suspension is required by applicable law.
8. COMMERCIAL DEBTOR COMMUNICATIONS
The Company may contact commercial debtors through lawful business communication channels, including:
- Business email addresses.
- Business telephone numbers.
- Registered business addresses.
- Postal correspondence.
- Authorized electronic communication platforms.
- Other legally permissible business communication methods.
Communications may concern outstanding invoices, overdue balances, account verification, payment arrangements, commercial settlements, and other matters related to recovery of the account.
The Company will conduct communications professionally and in accordance with applicable laws.
The Company prohibits:
- Harassment, intimidation, and coercion.
- Threats of unlawful action.
- False or misleading representations.
- Impersonation of courts, government agencies, attorneys, or law enforcement.
- False statements concerning litigation or enforcement.
- Unlawful disclosure of account information.
- Contact with unrelated third parties for improper collection purposes.
- Communications prohibited by the debtor’s local jurisdiction.
Where local law restricts communication frequency, timing, language, or methods, the Company will comply with those restrictions.
9. INTERNATIONAL COLLECTION REPRESENTATIVES
The Company may engage independent collection agencies, local commercial recovery firms, attorneys, legal professionals, or other authorized representatives in foreign jurisdictions.
International representatives may assist with:
- Local debtor communications.
- Commercial account verification.
- Collection correspondence.
- Local payment coordination.
- Translation services.
- Commercial settlement negotiations.
- Legal referral coordination.
- Other lawful recovery-related activities.
The Company will conduct reasonable due diligence concerning the appointment of international representatives.
Where local law requires a license, registration, professional qualification, or regulatory approval, the relevant activity will only be undertaken through appropriately authorized persons or entities.
International representatives must comply with applicable local collection, privacy, consumer protection, professional conduct, and commercial laws.
The Company does not represent that its United States registration automatically authorizes collection activities in foreign jurisdictions.
10. CURRENCY AND INTERNATIONAL PAYMENTS
Commercial debts may be denominated in United States Dollars, Euros, British Pounds, or other agreed currencies.
Payments must be made through payment channels authorized by the Company or the original creditor.
Where payment is made in a different currency from the original invoice currency:
- An applicable exchange rate may be used.
- Banks and payment intermediaries may impose transaction charges.
- International wire transfers may involve intermediary deductions.
- Currency conversion may affect the final amount received.
The Company will disclose applicable payment instructions and material charges where required.
Unless otherwise agreed, the debtor remains responsible for ensuring that the creditor receives the amount legally due, subject to the original agreement and applicable law.
The Company will not knowingly direct payments to unauthorized third-party accounts.
11. INTEREST, LATE PAYMENT CHARGES AND COLLECTION EXPENSES
Interest, late payment charges, collection costs, administrative fees, legal expenses, and other additional charges may only be pursued where authorized by the underlying agreement or applicable law.
The Company does not automatically acquire the right to impose additional fees merely because an account has been referred for collection.
Where applicable, commercial late payment rights may arise under the governing contract or mandatory national legislation.
For example, commercial transactions in certain European jurisdictions may be subject to national implementations of the EU Late Payment Directive 2011/7/EU.
The Company will not add:
- Unauthorized collection commissions.
- Uncontracted administrative fees.
- Unlawful late payment charges.
- Unsupported legal expenses.
- Duplicate charges.
- Expenses prohibited by mandatory local law.
Where a charge is disputed, the Company may request supporting documentation from the creditor.
12. DISPUTED COMMERCIAL ACCOUNTS
A debtor may dispute an account for reasons including:
- Goods not received.
- Goods received in damaged condition.
- Services not performed.
- Contractual nonperformance.
- Incorrect invoicing.
- Duplicate invoices.
- Payments not properly credited.
- Incorrect currency calculations.
- Unauthorized additional charges.
- Contractual set-off or counterclaims.
- Expired limitation periods.
- Lack of contractual authority.
- Other legitimate commercial defenses.
A debtor should submit the dispute in writing and provide supporting information where reasonably available.
The Company may forward the dispute to the creditor for review.
The Company will not knowingly continue to assert an amount that the creditor has confirmed is incorrect.
A dispute does not automatically extinguish an obligation. Its effect will be determined by the underlying agreement and applicable law.
13. SETTLEMENT AND REPAYMENT ARRANGEMENTS
The Company may negotiate payment arrangements and commercial settlements within the authority granted by the creditor.
Unless expressly authorized in writing, the Company cannot independently waive principal balances, release contractual obligations, or agree to a full and final settlement.
Settlement proposals are subject to creditor approval where required.
Any accepted settlement or repayment arrangement should be documented in writing.
A partial payment does not automatically constitute full and final settlement unless expressly agreed.
The Company may communicate revised repayment proposals where authorized and legally permissible.
14. LIMITATION PERIODS AND TIME-BARRED COMMERCIAL CLAIMS
Commercial claims are subject to limitation periods that differ substantially between countries.
The applicable period may depend upon:
- Governing law.
- Contract type.
- Place of performance.
- Nature of the obligation.
- Date payment became due.
- Applicable acknowledgment or payment rules.
- Whether a judgment has been obtained.
The Company will not knowingly misrepresent the enforceability of an expired or time-barred claim.
Referral of a claim to the Company does not automatically restart or extend any applicable limitation period.
Any acknowledgment, payment, or settlement proposal will be treated in accordance with applicable limitation laws.
15. INTERNATIONAL DATA PROTECTION AND PRIVACY
The Company may process information concerning commercial debtors, including corporate information and personal information relating to directors, employees, owners, guarantors, and authorized business contacts.
Information may include:
- Names and business contact information.

- Business correspondence.
- Relevant transaction records.
- Information concerning authorized representatives.
The Company will process personal information in accordance with applicable data protection laws, including the EU General Data Protection Regulation, UK GDPR, applicable national privacy legislation, and other relevant international requirements.
Where the Company acts as a processor on behalf of a creditor, the parties will enter into an appropriate data processing agreement where required.
Where the Company acts as an independent controller, it will identify and document its applicable legal basis for processing.
The Company may share relevant information with:
- The original creditor.
- Authorized international collection partners.
- Legal professionals.
- Payment processors.

- Regulatory authorities and courts where legally required.
The Company will implement reasonable organizational, technical, and contractual safeguards to protect information against unauthorized access, disclosure, alteration, or destruction.
16. INTERNATIONAL DATA TRANSFERS
The Company operates from the United States and may engage authorized representatives in foreign jurisdictions.
Personal information may therefore be transferred to or accessed from countries outside the country in which the information originated.
Such transfers will only occur subject to applicable international transfer requirements.
Where required, the Company will implement appropriate mechanisms, which may include:
- EU Standard Contractual Clauses.
- UK International Data Transfer Agreements.
- UK Addendum to the EU Standard Contractual Clauses.
- Applicable adequacy decisions or regulations.
- Other legally recognized transfer safeguards.
The Company will conduct required transfer assessments and implement additional safeguards where necessary.
Where a transfer cannot lawfully be made, the Company will not proceed with that transfer unless a valid legal exception applies.
17. CONFIDENTIALITY AND COMMERCIAL INFORMATION
The Company will treat creditor and debtor account information as confidential, subject to applicable legal disclosure obligations.
Confidential information may include commercial contracts, pricing arrangements, account balances, payment histories, business correspondence, and financial records.
The Company will not knowingly disclose confidential information to unrelated parties for improper purposes.
Information may be disclosed where reasonably necessary for authorized collection services, legal proceedings, regulatory compliance, or other lawful business purposes.
18. NO LEGAL REPRESENTATION OR GUARANTEE OF ENFORCEMENT
The Company is a commercial debt recovery service provider and does not represent itself as a law firm, court, government authority, or judicial enforcement agency.
Unless separately authorized and legally qualified, the Company does not provide legal advice or act as legal counsel.
The Company does not guarantee:
- Successful debt recovery.
- Recognition of foreign contractual claims.
- Recognition of foreign judgments.
- Availability of debtor assets.
- Commencement of litigation.

Legal proceedings will be referred to appropriately qualified legal professionals in the relevant jurisdiction.
19. FOREIGN JUDGMENTS AND INTERNATIONAL ENFORCEMENT

- The originating court’s authority.
- Proper service of proceedings.
- Procedural compliance.
- Local public policy.

- Applicable national debt collection and legal services legislation.
- Relevant EU cross-border civil justice regulations.
The Company recognizes that the Late Payment Directive concerns commercial transactions and provides certain creditor rights concerning late payment, subject to national implementation and applicable exceptions.
The Company will not assume that every European country has identical collection procedures or fee rules.
For cross-border EU commercial claims, appropriate procedures may include the European Payment Order procedure under Regulation (EC) No. 1896/2006, where eligible.
The European Small Claims Procedure is generally limited to claims within its scope and should not be assumed to cover every commercial debt.
The Company will not initiate regulated legal services or judicial enforcement without the required authorization.
21. UNITED KINGDOM
For commercial accounts involving England, Wales, Scotland, or Northern Ireland, the Company will observe applicable UK legislation and regulatory requirements.
These may include:

- Applicable contract legislation.
- Applicable debt collection and financial services regulations.
The Company will not represent itself as FCA-authorized unless it actually holds the relevant authorization.
The application of the Consumer Credit Act 1974 and FCA consumer credit rules will be assessed where an account involves regulated credit or an individual rather than an ordinary commercial obligation.
22. COUNTRY-SPECIFIC ASIAN LEGAL REQUIREMENTS
For commercial debt collection activities involving Asian jurisdictions, the Company will comply with applicable local legislation and licensing requirements.
The following are important jurisdictional considerations:
Japan: The Act on Special Measures Concerning Claim Management and Collection Businesses restricts certain claim management and collection activities to authorized servicers. Activities requiring authorization will be conducted through appropriately qualified representatives.

The Company will not interpret its United States business registration as permission to conduct regulated debt collection activity in every foreign jurisdiction.
Before undertaking regulated activities in a foreign country, the Company will determine whether local authorization, licensing, registration, professional representation, or other requirements apply.
Where the Company cannot lawfully conduct an activity directly, it may decline the account, suspend the activity, or refer it to an appropriately authorized local representative.

Nothing in these Terms excludes the jurisdiction of a competent court or requires a debtor to waive mandatory legal protections.
30. LANGUAGE AND TRANSLATION
The Company may provide translations of these Terms for international business users.
The English version will serve as the Company’s reference version unless another language is required by applicable law or agreed in writing.
